    Abstract
This case study focuses on strategic change management practices and the factors affecting the change program at the Nairobi Stock Exchange.A three year corporate plan that ushered in the change program for the period 2006 to 2008 was approved in July 2005.The two main components of the plan were to increase market liquidity, market capitalization and eventually de-mutualize the Exchange by the end of 2007. The study depended on qualitative data gathering through in-depth interviews with senior executives of NSE, capital markets authority and stokbrokerage firms.Questionnaires were used to gather pertinent information from middle managers in the three key institutions.
